Terms & Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Wheresit mobile application, website, and related services (collectively, the "App"). The App is operated by Wheresit ("Wheresit", "we", "us", or "our"). By downloading, installing, accessing, creating an account for, or using the App, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the App.

2. Eligibility

You must be at least 18 years old to use the App. By using the App, you represent and warrant that:
• You have the legal capacity to enter into these Terms;
• All information you provide is accurate and complete;
• Your use of the App complies with all applicable laws and regulations.

3. Description of the Service

Wheresit is a personal organisational tool that allows users to:
• Photograph items;
• Add descriptions, notes, labels, tags, keywords, and metadata;
• Associate items with location information;
• Search and retrieve stored records.

The App is intended solely as a convenience tool to assist users in remembering where items have been stored. The App is not:
• A security service;
• A theft prevention service;
• An asset protection service;
• A safe deposit service;
• An insurance product;
• An inventory verification system;
• A property tracking system;
• A professional records management system.

We do not guarantee that any item can be located, recovered, protected, secured, insured, or otherwise safeguarded through use of the App.

4. Important Security and Valuable Items Warning

Wheresit is designed solely as a personal organisational tool to help users remember where items have been stored. It is not a security product, inventory management system, safe deposit service, insurance product, asset tracking service, or theft prevention solution. Users must not use the App to store photographs, descriptions, locations, tags, notes, metadata, or other information relating to:
• Cash, banknotes, coins, or other monetary instruments;
• Jewellery, watches, precious metals, gemstones, or collectibles;
• High-value electronics, including laptops, tablets, mobile phones, cameras, gaming equipment, and similar devices;
• Firearms, weapons, ammunition, or controlled items;
• Personal identification documents, passports, driving licences, birth certificates, or similar records;
• Financial information, account details, payment cards, passwords, recovery codes, or security credentials;
• Confidential business information or trade secrets;
• Keys, access cards, alarm codes, or security-sensitive information;
• Any item of significant monetary, personal, sentimental, historical, or irreplaceable value.

The App is intended only for ordinary household, personal, and low-risk storage reminders. Users are solely responsible for determining whether any information or item is appropriate for inclusion in the App. Users acknowledge that photographs, labels, descriptions, notes, metadata, geolocation information, keywords, search terms, and other identifying information may reveal the existence, nature, ownership, value, or storage location of property. Users further acknowledge that storing such information may increase the risk of theft, loss, fraud, misuse, unauthorised access, burglary, identity theft, criminal activity, or other harm if that information becomes accessible to third parties. Any user who chooses to record valuable or sensitive items does so entirely at their own risk. The user assumes all risks associated with such use.

5. User Accounts

Users may be required to create an account. You are responsible for:
• Maintaining the confidentiality of your login credentials;
• Restricting access to your account;
• Maintaining appropriate passwords, passcodes, biometric authentication, and security controls;
• All activity occurring under your account.

You must immediately notify us of any actual or suspected unauthorised access, security incident, or compromise of your account. We may suspend or terminate accounts where we reasonably believe there has been misuse, fraud, unlawful activity, or a breach of these Terms.

6. User Content

Users retain ownership of photographs, notes, descriptions, labels, metadata, and other content uploaded or created through the App ("User Content"). You grant us a non-exclusive, worldwide, royalty-free licence to host, process, store, transmit, display, and otherwise use User Content solely for the purpose of providing the App and its functionality. You represent and warrant that:
• You own or have all necessary rights to User Content;
• User Content does not infringe any third-party rights;
• User Content does not violate any law or regulation;
• User Content does not contain material you are prohibited from storing or sharing.

You remain solely responsible for all User Content.

7. Prohibited Uses

You agree not to:
• Use the App for unlawful purposes;
• Upload illegal content;
• Upload malicious code, malware, or harmful software;
• Attempt to reverse engineer, decompile, or disassemble the App;
• Circumvent security features;
• Interfere with the operation of the App;
• Access another user's account without authorisation;
• Use the App to facilitate criminal conduct;
• Store information intended to facilitate theft, fraud, unauthorised access, or unlawful activity.

8. Device Security and User Responsibility

Users are solely responsible for:
• The content they upload, create, store, or associate with items;
• The security of their device, operating system, passwords, passcodes, biometric authentication, cloud accounts, and backups;
• Maintaining appropriate physical and digital security measures;
• Determining whether any item should be recorded within the App.

The security of information stored through the App depends substantially upon:
• The security of the user's device;
• Device operating system protections;
• Third-party cloud services;
• Network security;
• User behaviour and security practices.

We cannot and do not guarantee the security of any device, operating system, cloud service, network, account, or communication channel. Users must immediately cease using the App for any purpose that may create a risk of theft, fraud, identity theft, personal harm, or other loss.

9. Data Storage and Availability

The App may store information locally on a user's device and/or remotely through infrastructure used to provide the service. Where photographs, labels, metadata, geolocation information, or other content are stored locally on a user's device, the user acknowledges that the security of such information depends primarily upon the security of the device and related services. We do not guarantee:
• Continuous availability;
• Error-free operation;
• Permanent retention of data;
• Successful backups;
• Data recovery;
• Protection against data corruption or loss.

The App Operator makes no warranty that stored data will remain secure, available, recoverable, or free from unauthorised access. Users are responsible for maintaining their own backups and security measures.

10. No Warranty

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, representations, guarantees, and conditions, whether express, implied, statutory, or otherwise, including warranties relating to:
• Merchantability;
• Fitness for a particular purpose;
• Reliability;
• Availability;
• Security;
• Accuracy;
• Performance;
• Non-infringement.

We do not warrant that the App will:
• Locate lost items;
• Prevent theft;
• Prevent unauthorised access;
• Meet user expectations;
• Operate without interruption;
• Be error-free.

11. No Liability for Theft, Loss or Unauthorised Access

To the fullest extent permitted by applicable law, the App Operator shall not be liable for any loss, theft, damage, disappearance, misplacement, disclosure, misuse, unauthorised access, or compromise relating to any item, information, photograph, location data, metadata, or content stored through the App. This exclusion includes, without limitation, losses arising from:
• Theft of a user's device;
• Hacking;
• Malware;
• Phishing;
• Credential theft;
• Cyberattacks;
• Unauthorised access to a user's account or device;
• User error or negligence;
• Third-party actions;
• Criminal conduct;
• Device failures;
• Operating system vulnerabilities;
• Software defects;
• Data loss;
• Data corruption;
• Disclosure of stored item locations or identifying information.

Users acknowledge that the App Operator cannot guarantee the security of any device, operating system, cloud service, network, account, or communication channel.

12. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law. Subject to the foregoing:
We shall not be liable for:
• Indirect losses;
• Consequential losses;
• Special losses;
• Punitive damages;
• Exemplary damages;
• Loss of profits;
• Loss of revenue;
• Loss of opportunity;
• Loss of goodwill;
• Loss of anticipated savings;
• Loss of data.

To the fullest extent permitted by law, the total aggregate liability of Wheresit arising out of or relating to the App, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of:
• the amount paid by the user to Wheresit during the twelve (12) months immediately preceding the event giving rise to the claim; or
• £50.

13. Indemnity

The user agrees to indemnify, defend, and hold harmless Wheresit, its directors, officers, employees, contractors, agents, affiliates, licensors, successors, and assigns from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, costs, expenses, penalties, fines, and legal fees arising out of or relating to:
• The user's use of the App;
• Any content uploaded, stored, processed, or created by the user;
• Any breach of these Terms;
• Any loss, theft, damage, disclosure, or misuse connected with information stored through the App;
• Any violation of law by the user;
• Any claim brought by a third party arising from the user's use of the App.

14. Intellectual Property

All intellectual property rights in the App, including software, code, branding, logos, graphics, databases, designs, content, and documentation remain the exclusive property of Wheresit or its licensors. No ownership rights are transferred to users.

15. App Store Providers

If the App is downloaded through the App Store or Google Play, you acknowledge that:
• These Terms are solely between you and Wheresit;
• Apple and Google are not parties to these Terms;
• Apple and Google are not responsible for the App or its support.

16. Updates and Modifications

We may modify, suspend, discontinue, replace, update, or remove any aspect of the App at any time without liability. We are under no obligation to continue providing any particular feature or version.

17. Suspension and Termination

We may suspend or terminate access to the App immediately if:
• You breach these Terms;
• We reasonably suspect misuse or unlawful activity;
• We are required to do so by law;
• Continued access may expose us or others to risk.

Upon termination, all rights granted under these Terms immediately cease.

18. Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the App, you acknowledge that personal information may be processed in accordance with that Privacy Policy.

19. Third-Party Services

The App may rely upon or integrate with third-party services. We are not responsible for:
• Third-party software;
• Cloud providers;
• Device manufacturers;
• Operating systems;
• Telecommunications providers;
• Third-party websites or services.

Your use of third-party services is governed by their own terms and policies.

20. Force Majeure

We shall not be liable for any delay, interruption, or failure resulting from events beyond our reasonable control, including:
• Internet failures;
• Cyberattacks;
• Utility outages;
• Natural disasters;
• Government action;
• War;
• Civil unrest;
• Labour disputes.

21. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between the parties concerning the App and supersede all previous agreements and understandings.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

24. Dispute Resolution

The parties shall first attempt to resolve disputes through good-faith discussions. Nothing in these Terms limits any consumer rights that cannot legally be excluded. Subject to applicable law, disputes shall be subject to the jurisdiction of the courts of England and Wales.

26. User Acknowledgement

By creating an account, downloading the App, accessing the App, or using the App, the user expressly acknowledges and agrees that:
• The App is a convenience tool only;
• The App is not intended for recording valuable or sensitive items;
• Photographs, descriptions, labels, notes, metadata, keywords, and location information may reveal the existence, value, ownership, or location of property;
• Use of the App involves inherent security risks;
• The user is solely responsible for deciding what information to record;
• The user accepts all risks associated with recording, storing, maintaining, or searching for such information;
• The App Operator cannot guarantee security against hacking, theft, fraud, data breaches, device compromise, or unauthorised access; and
• The App Operator shall not be responsible for any resulting loss except where liability cannot legally be excluded under applicable law.

27. Acceptance

By downloading, installing, creating an account for, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
